MWP Studios, a division of Michael William Paul Ltd (“MWP”), develops, produces, licenses, and commercializes original creative materials across film, television, photography, branded media, promotional campaigns, digital content, and related business extensions. This page sets forth MWP’s general policy positions regarding intellectual property ownership, licensing, permissions, commercial use, distribution, project-specific shopping rights, co-development structures, brand protection, and related rights matters.
1. Ownership and Copyright
All creative content, materials, and related assets produced, commissioned, developed, assembled, refined, or controlled by MWP, including without limitation photographs, motion picture materials, video assets, edits, scripts, treatments, concepts, decks, proof-of-concept materials, titles, graphics, designs, AI-assisted creative, visual systems, production materials, campaign materials, story architecture, formats, derivative materials, and related intellectual property, are and shall remain the exclusive property of MWP and/or Michael William Paul Ltd unless expressly assigned or licensed otherwise in a written agreement signed by MWP.
No discussion, introduction, exposure opportunity, financing support, sponsor lead, publicist relationship, development input, talent access, or general collaboration shall, standing alone, transfer any ownership interest in any MWP materials or intellectual property.
All rights not expressly granted by MWP in writing are reserved.
2. Permission Requirement
No person or entity may reproduce, publish, distribute, transmit, display, adapt, edit, train artificial intelligence systems on, exploit, sublicense, commercialize, or otherwise use any MWP materials, in whole or in part, except pursuant to MWP’s prior written authorization or a valid written agreement expressly permitting such use.
Any authorized use shall be limited strictly to the scope stated in the applicable agreement, including any limitations as to media, format, territory, language, term, exclusivity, campaign type, distribution channel, and approved context.
3. Licensing Categories
MWP may, in its discretion, consider granting rights or licenses in connection with one or more of the following categories, subject in all cases to written approval and executed documentation:
editorial, publicity, and press usage;
commercial and brand advertising usage;
promotional and campaign usage;
streaming, broadcast, theatrical, and exhibition usage;
internal, private, or institutional usage;
social media, digital audience, and omnichannel marketing usage;
territory-specific or media-specific exploitation;
limited-term, renewable-term, or other negotiated duration models;
exclusive, category-exclusive, or non-exclusive arrangements; and
ancillary, derivative, or extension rights where separately approved.
Availability of rights, permitted scope, and economic terms depend on the nature of the asset, the proposed use, the commercial context, the term requested, the territory involved, and MWP’s then-current business priorities.
4. Project-Specific Shared Packages and Shopping Rights
In certain circumstances, MWP may approve a limited project-specific shared package for shopping, sponsorship discussions, financing outreach, buyer presentations, publicist use, co-packaging efforts, or similar business development activity.
Any such approved shared package shall consist only of those specific materials expressly identified by MWP in writing for that purpose.
Any shopping, packaging, sponsor-facing, financier-facing, buyer-facing, distribution-facing, or publicist-facing rights granted by MWP shall be limited in scope, duration, purpose, and transferability, shall apply only to the expressly approved shared package, and shall not constitute a transfer of ownership.
No shopping or outreach right shall be construed to authorize any person or entity to bind MWP to any sale, license, financing, sponsorship, distribution arrangement, or other transaction without MWP’s prior written approval of the applicable principal terms.
All materials not expressly included within an approved shared package remain solely owned and controlled by MWP.
5. Partnerships, Co-Development, and Collaboration Structures
MWP may enter into project-specific relationships involving development support, co-development, co-production, sponsorship, licensing, distribution, promotional collaboration, brand integration, financing participation, or related commercial activity.
Any such relationship must be documented by written agreement setting forth the applicable rights, approvals, permitted uses, credit treatment, financial terms, obligations, restrictions, and any project-specific ownership or participation provisions.
Joint participation in discussions, development, packaging, financing efforts, sponsor outreach, publicity efforts, or commercial introductions shall not, standing alone, create any broad co-ownership, implied partnership, agency authority, fiduciary duty, or control over MWP’s broader business, slate, systems, or independently created materials.
6. Sponsorship, Brand Integration, and Commercial Extensions
MWP may structure and negotiate rights relating to sponsor integrations, product placement, branded entertainment, destination or tourism campaigns, fashion and event activations, promotional extensions, social media activations, omnichannel campaigns, and related commercial extensions.
Such rights, if granted, shall be governed by the applicable written agreements and may vary based on approved creative scope, talent involvement, term, territory, media, exclusivity, approval rights, attribution requirements, distribution pathways, and any usage renewals or extension options.
No sponsor, brand, advertiser, intermediary, or promotional partner shall acquire rights beyond those expressly granted in writing.
7. Distribution, Sales, and Downstream Exploitation
MWP may develop, market, package, present, license, sell, distribute, or otherwise exploit its materials and projects through domestic and international channels, including without limitation theatrical, broadcast, streaming, educational, institutional, private, digital, brand-supported, promotional, and ancillary pathways.
Project-specific rights may include, where applicable and as expressly approved in writing, rights relating to teasers, sizzles, trailers, presentations, pilot materials, proof-of-concept materials, first-look presentations, promotional cuts, derivative campaigns, educational versions, international sales pathways, and adjacent extensions.
Any sale, license, distribution arrangement, or downstream exploitation involving MWP materials is subject to the rights, approvals, economic terms, and business conditions expressly set forth in the applicable written agreements.
8. Social Media, Internet, and Digital Audience Rights
Digital and internet-based use presents unique scope issues because content may circulate across jurisdictions, platforms, feeds, advertising systems, and audience channels simultaneously. For that reason, social media, digital audience, omnichannel marketing, platform-native distribution, and related online uses must be separately approved and clearly scoped in writing.
Unless expressly stated otherwise in writing, no license or permission granted by MWP shall be deemed to authorize unrestricted digital redistribution, reposting, clipping, re-editing, amplification, paid boosting, platform advertising, synthetic reformatting, or cross-platform rollout.
9. Artificial Intelligence, Synthetic Media, and Data Use Restrictions
No MWP materials may be used for artificial intelligence training, machine learning ingestion, dataset compilation, synthetic media generation, automated extraction, model fine-tuning, derivative AI-assisted adaptation, or similar purposes without MWP’s prior written approval.
No permission to access, view, receive, license, or use any MWP materials shall be interpreted as permission to ingest such materials into any automated, synthetic, or machine-based system unless expressly stated in writing by MWP.
10. Credit, Attribution, Name, and Brand Use
All credits, attributions, name references, logo usage, and related acknowledgments must comply with the terms of the applicable written agreement and any form of credit approved by MWP.
No person or entity may use the MWP Studios name, the Michael William Paul name, associated marks, logos, project titles, promotional associations, or similar identifiers in any commercial, sponsor-facing, buyer-facing, fundraising, public-facing, or platform-facing context except as expressly approved in writing.
Where credit is granted, such credit shall not be construed to imply ownership, endorsement beyond the approved context, or rights beyond those expressly documented.
11. Modifications, Edits, and Derivative Use
No material may be materially altered, cropped, re-edited, reformatted, re-scored, translated, combined with other materials, or otherwise modified except to the extent expressly approved by MWP in writing.
Any derivative, adapted, excerpted, or reformatted use of MWP materials requires specific written authorization, including where such use is intended for digital, promotional, branded, educational, or international exploitation.
12. Enforcement, Claims, and Takedown Rights
MWP reserves all rights to investigate, challenge, restrict, suspend, or pursue remedies in connection with unauthorized use, infringement, misattribution, misuse, overuse, unlicensed exploitation, prohibited AI use, unauthorized commercial association, or other conduct inconsistent with MWP’s rights or written agreements.
MWP may require removal, cessation of use, correction of credits, retroactive licensing discussions where appropriate, confirmation of scope compliance, accounting of exploitation, or other remedial action as circumstances warrant.
13. No Waiver; Written Agreements Control
No statement, conversation, pitch, informal approval, delivery of materials, introduction, exploratory collaboration, or course of dealing shall amend or waive MWP’s rights unless expressly confirmed in a written agreement signed by MWP.
In the event of any inconsistency between this page and a fully executed written agreement, the fully executed written agreement shall control with respect to the subject matter expressly covered therein.
14. Rights, Licensing, and Distribution Inquiries
Inquiries concerning permissions, rights clearances, licensing, shopping rights, shared packages, sponsorship structures, brand integrations, partnership proposals, sales, distribution, or related matters should be directed to MWP through the appropriate studio contact channel.
Any inquiry should include, at minimum, the material or project at issue, the proposed use, the territory, the media, the intended term, whether exclusivity is requested, whether paid digital or social media use is contemplated, whether modification rights are sought, and the identity of the requesting party or parties.
MWP reviews requests on a case-by-case basis and reserves the right to approve, decline, condition, limit, or restructure any proposed use or arrangement in its sole discretion.
